2、买方依据本合同持有和使用上述设备软件不会侵犯任何第三人知识产权或其他合法权利.3、若在本合同有效期内以及本合同履行完毕后,买方对设备软件的使用权受到限制或无法使用,卖方应在买方要求的时间内解决问题,使买方恢复对设备软件的持续的和不受干扰的使用权,而继续使用合同设备.同时,卖方应赔偿买方因设备（或其零部件）侵犯或可能侵犯任何一项专利所发生的赔偿、损害、裁定赔款、以及相关费用包括但不限于律师费和损失等全部费用.
3、上述侵权诉讼应由卖方应诉和解决并承担全部费用.如买方在诉讼中被禁止使用这些设备及其零部件,则卖方可选择下列解决方式之一：i）保证禁令的解除,为买方获取无需承担任何义务和责任而使用设备及其零部件的权利；ii）以不侵权的设备或零部件替换上述设备,或修改原来的设备或零部件,使其不再侵权,全部工作所需的费用由卖方承担,且工作使买方满意；或iii） 由卖方承担费用,拆除上述设备或其零部件,并退还买方支付卖方之相应货款,并赔偿可能发生的全部损失.但是,本条款规定不适用于下列情形,i）由买方提供的设计引起的侵权行为,或ii）在使用设备时,因同时使用的其他物品或工艺所引起侵权.
本章所述设备软件指包括卖方向买方提供的所有设备软件及第三方供应商特许使用的所有软件(第三方软件).双方认定设备软件是合同设备运作所必备的软件.双方确认卖方在本合同项下提供的设备软件有可能包括第三方软件,但该第三方软件是卖方通过与第三方供应商签订协议而合法取得著作权或合法许可买方使用的软件.
